TAMSIN HAYWARD
Tamsin is a business focused commercial lawyer with extensive in-house experience, including as counsel for a Virgin Group start-up and General Electric. She has a MBA with distinction from CASS Business School. Her industry focus is aviation, transportation and manufacturing. She is particularly experienced in managing transactions in emerging markets.
Tamsin qualified at Allen & Overy in 1999 where she was an associate in the firm’s project finance department prior to moving in-house.

Company/Commercial
- Providing ad hoc in-house counsel support to SMEs and large corporates, including advising on contract management systems and strategy
- Advising on, negotiating, drafting and project managing transactions involving: Terms and Conditions for the sale and supply of goods, Supply of services agreements and outsourcing arrangements, Distribution and agency agreements, Leasing, Brand and licensing agreements, IT software development and licensing agreements, Consultancy agreements, Joint venture arrangements and shareholders agreements
- Assisting companies on procurement contracts M&A due diligence
- Advising on facility agreements and the granting of security or quasi security
Aviation
- Engine sale, lease, exchange and maintenance agreements (including power by the hour contracts) and component repair agreements
- Aircraft wet and dry leasing
- Operational (pilot and crew training), ground and logistics
Notable Transactions
- Advising the Engine Alliance on the Fleet Management Agreement valued at over $3billion for Emirates’ A380 aircraft fleet
- Advising General Electric on engine sale and services agreements with Qatar Airways on Boeing 777 and 787 aircraft
- Acting as counsel for the start up of Virgin Nigeria Airways and for the airline’s first 18 months of operations
- Part of the team advising a consortium awarded one of the London Underground maintenance Public Private Partnership programme (PPP) contracts
